FREELANCE SERVICES AGREEMENT This Agreement is entered into as of [DATE] between: CLIENT: [CLIENT FULL NAME OR COMPANY NAME], located at [CLIENT ADDRESS] ("Client") CONTRACTOR: [YOUR FULL NAME], located at [YOUR ADDRESS] ("Contractor") Together referred to as the "Parties." --- 1. SERVICES Contractor agrees to provide the following services ("Services"): [DESCRIBE DELIVERABLES IN SPECIFIC DETAIL — e.g., "Three (3) UGC video clips, each 15–30 seconds in length, filmed in portrait orientation, fully edited with captions, for use in Client's Instagram and TikTok marketing. Videos will feature [PRODUCT NAME] as briefed."] Any work outside this scope is subject to a separate written agreement and additional fees. --- 2. TIMELINE Project start date: [START DATE] Delivery of final files: [DELIVERY DATE] Timelines are contingent on Client providing materials, feedback, and approvals in a timely manner. Delays caused by Client may result in revised delivery dates. --- 3. COMPENSATION Client agrees to pay Contractor the following fees: Total fee: $[AMOUNT] Deposit: $[DEPOSIT AMOUNT] (50% of total) due before work begins Balance: $[REMAINING AMOUNT] due upon delivery of final files Invoices are payable within [7 / 14 / 30] days of receipt. Invoices unpaid after [30] days accrue a late fee of [1.5%] per month on the outstanding balance. Contractor will not deliver final files until payment is received in full. --- 4. REVISIONS This Agreement includes [TWO (2)] rounds of revisions. A revision is defined as minor adjustments to existing content. Revisions that substantially change the scope or direction of the work constitute new work and will be billed at Contractor's standard rate of $[HOURLY RATE] per hour or a separately quoted fee. Revision requests must be submitted within [7] days of delivery. Requests submitted after this window may be treated as new work. --- 5. INTELLECTUAL PROPERTY All content created under this Agreement remains the intellectual property of Contractor until full payment is received. Upon full payment, Contractor grants Client the rights described in Section 5. Contractor retains the right to display the work in their portfolio and use it as a professional sample unless Client requests otherwise in writing. --- 7. KILL FEE If Client cancels this Agreement after work has begun, the following cancellation fees apply: - Cancelled before first delivery: [25–50%] of total fee - Cancelled after first delivery: [50–75%] of total fee - Cancelled after revisions submitted: 100% of total fee The deposit is non-refundable in all cases. --- 8. CONFIDENTIALITY [OPTIONAL — Include if you'll have access to sensitive client information.] Each Party agrees to keep confidential any non-public information shared by the other Party in connection with this Agreement. This includes but is not limited to business strategies, unreleased products, pricing, and customer data. This obligation survives termination of this Agreement. --- 9. INDEPENDENT CONTRACTOR Contractor is an independent contractor, not an employee of Client. Contractor is responsible for all taxes on income earned under this Agreement. Nothing in this Agreement creates a partnership, joint venture, or employment relationship. --- 10. TERMINATION Either Party may terminate this Agreement with [7] days' written notice. In the event of termination, Client is responsible for payment for all work completed up to the termination date, plus any applicable kill fee as outlined in Section 7. Contractor may terminate immediately if Client fails to pay any amount due within [15] days of the due date. --- 11. LIMITATION OF LIABILITY Contractor's total liability under this Agreement shall not exceed the total fees paid by Client. Contractor is not liable for any indirect, incidental, or consequential damages. --- 12. DISPUTE RESOLUTION The Parties agree to attempt to resolve any dispute through good-faith negotiation before pursuing legal action.
