GRAPHIC AND BRAND DESIGN SERVICES AGREEMENT
This Agreement is entered into as of [DATE] between:

1. SERVICES
Contractor agrees to provide the following design services ("Work"):
[DESCRIBE IN DETAIL — e.g., "Brand identity package including: primary logo (horizontal and stacked versions), secondary mark, color palette with hex codes, typography system (primary and secondary typefaces), and usage guidelines document. Delivered as PDF brand guide plus final export files as specified in Section 3."]
Client will provide a completed creative brief, brand questionnaire, and any reference materials at least [5] business days before the agreed start date. Contractor retains professional discretion in visual execution within the parameters of the brief.

2. CONCEPTS AND REVISIONS
Contractor will present [TWO (2)] initial design concepts for Client review. Client will select one concept to develop further.
This Agreement includes [TWO (2)] rounds of revisions on the selected concept. A revision is defined as minor adjustments: color palette changes, font swaps, copy updates, layout tweaks, or refinements within the approved concept direction.
A revision does NOT include:
- Requests to change the overall concept, style, or design direction
- Requests to develop an additional concept from scratch
- Changes that require recreating the core design
- Requests submitted after mockup approval (see Section 4)
The above constitute new work and are billed at $[HOURLY RATE] per hour or a separately quoted flat fee.
Revision requests must be submitted in writing within [7] days of delivery. Requests after this window may be treated as new work.

3. DELIVERABLES AND FILE FORMATS
Upon completion and full payment, Client will receive the following final files:

- [FORMAT — e.g., SVG files for web and digital use]
- [FORMAT — e.g., PDF for brand guidelines]
SOURCE FILES:

OPTION A: Source files (.ai, .psd, .fig, .sketch, or equivalent) are NOT included in the project fee. Source files are available for an additional fee of $[AMOUNT], payable before delivery.
OPTION B: Source files are included. Contractor will deliver all working files upon receipt of final payment.
Contractor will not deliver any final files or source files until full payment is received.

4. MOCKUP APPROVAL
Contractor will present designs as mockups or static files for Client approval before producing final production-ready files. Once Client provides written approval of a mockup, any changes to that approved element are considered new work and billed accordingly. "I'll know it when I see the final" is not an acceptable basis for changes after mockup approval.

5. FONT LICENSING
Contractor will use typefaces that are commercially available. Client is solely responsible for purchasing appropriate commercial licenses for any fonts specified in the final brand guidelines before using those fonts in published materials (print, web, advertising, packaging, etc.).
Contractor will provide font names and sources in the brand guidelines. Failure to obtain proper font licenses is Client's legal responsibility, not Contractor's.

6. TIMELINE

Timelines are contingent on Client providing the brief and all required materials on time. Delays caused by Client, including late feedback or approval, may result in revised delivery dates at no penalty to Contractor.

7. COMPENSATION

Invoices are payable within [7] days of receipt. Invoices unpaid after [14] days accrue a late fee of [1.5%] per month on the outstanding balance.

8. INTELLECTUAL PROPERTY
All designs, concepts, and files created under this Agreement remain the intellectual property of Contractor until full payment is received. Upon receipt of full payment, all intellectual property rights in the final, approved Work transfer to Client.
Contractor retains ownership of all preliminary concepts, rejected designs, and working files not included in the approved deliverables.
Contractor retains the right to display the final Work in their portfolio and use it as a professional sample unless Client requests otherwise in writing within [30] days of final delivery.

9. KILL FEE
If Client cancels this Agreement after work has begun, the following cancellation fees apply:
- Cancelled before concepts are presented: 25% of total fee
- Cancelled after concept presentation but before revision stage: 50% of total fee
- Cancelled during revision stage: 75% of total fee
- Cancelled after final files are delivered: 100% of total fee
The deposit is non-refundable in all cases.

10. CONFIDENTIALITY
Contractor agrees to keep confidential any non-public information shared by Client in connection with this Agreement, including unreleased products, brand strategies, and business plans. This obligation survives termination of this Agreement for a period of [2] years.

11. INDEPENDENT CONTRACTOR
Contractor is an independent contractor, not an employee of Client. Contractor is responsible for all taxes on income earned under this Agreement. Nothing in this Agreement creates a partnership, joint venture, or employment relationship.

12. TERMINATION
Either Party may terminate this Agreement with [7] days' written notice. In the event of termination, Client is responsible for payment for all work completed up to the termination date, plus any applicable kill fee as outlined in Section 9.

13. LIMITATION OF LIABILITY
Contractor's total liability under this Agreement shall not exceed the total fees paid by Client. Contractor is not liable for any indirect, incidental, or consequential damages.

14. DISPUTE RESOLUTION
The Parties agree to attempt to resolve any dispute through good-faith negotiation before pursuing legal action. This Agreement is governed by the laws of [YOUR STATE/PROVINCE].

15. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, proposals, or agreements. Any modifications must be made in writing and signed by both Parties.
