UGC CREATOR SERVICES AGREEMENT
This Agreement is entered into as of [DATE] between:

1. SERVICES
Contractor agrees to create the following content ("Content"):
[DESCRIBE IN DETAIL — e.g., "Three (3) UGC video clips, each 15–30 seconds in length, filmed in portrait orientation (9:16), fully edited with captions, featuring [PRODUCT NAME] as briefed. Delivered as .mp4 files at 1080p resolution or higher."]
Client will provide a written creative brief at least [5] business days before the agreed filming date. Contractor will follow the brief but retains creative discretion in execution. Any changes to the brief after filming begins constitute new work subject to additional fees.

2. CONTENT APPROVAL
Client has [TWO (2)] rounds of revision requests. A revision is defined as minor adjustments to existing content (color grading, caption changes, audio tweaks, minor reframing). Requests that substantially change the concept, direction, or deliverable count are new work and billed at $[HOURLY RATE] per hour or a separately quoted fee.
Revision requests must be submitted within [5] business days of receiving deliverables. If Client does not respond within [10] business days of delivery, content is considered approved and the balance payment becomes due immediately.

Timelines are contingent on Client providing the brief, product samples, and any required materials on time. Delays caused by Client may result in revised delivery dates at no penalty to Contractor.

4. COMPENSATION
Total fee: $[AMOUNT]
Deposit: $[DEPOSIT AMOUNT] (50% of total) due before filming begins
Balance: $[REMAINING AMOUNT] due upon delivery of final approved files
Invoices are payable within [7] days of receipt. Invoices unpaid after [14] days accrue a late fee of [1.5%] per month on the outstanding balance.
Contractor will not deliver final approved files until payment is received in full.

5. USAGE RIGHTS — ORGANIC
Upon receipt of full payment, Client receives a limited, non-exclusive license to use the Content for organic (non-paid) posting as follows:
Permitted platforms: [LIST — e.g., Instagram, TikTok, YouTube, Facebook, Pinterest, Client's website]
License term: [12 months / 2 years / perpetual]
Geographic scope: [Worldwide / specify region]
This organic license does not include any form of paid advertising, boosted posts, promoted content, or sponsored placements. Paid usage requires a separate written agreement and additional fee as outlined in Section 6.

6. USAGE RIGHTS — PAID ADVERTISING
[OPTIONAL — Include if Client may wish to use content in paid ads. Remove this section if licensing for organic use only.]
If Client wishes to use the Content in paid advertising (Meta Ads, TikTok Ads, YouTube Ads, Google Ads, or any other paid promotion), the following additional licensing fees apply:
- Paid ads, under 3 months: $[AMOUNT]
- Paid ads, 3–6 months: $[AMOUNT]
- Paid ads, 6–12 months: $[AMOUNT]
- Paid ads, unlimited / perpetual: negotiated separately in writing
Paid advertising usage must be confirmed in writing and the corresponding fee paid before final content is delivered. Running Content in paid ads without this written agreement is a breach of this Agreement and entitles Contractor to pursue damages equal to the applicable licensing fee plus costs.

7. WHITELISTING AND DARK POSTING

Whitelisting (running paid ads directly from Contractor's social media handle) and dark posting (sponsored posts that do not appear on Contractor's public profile) require separate written authorization and an additional fee:
- Whitelisting, under 30 days: $[AMOUNT]
- Whitelisting, 30–90 days: $[AMOUNT]
- Whitelisting, 90+ days: negotiated separately
Contractor may revoke whitelisting authorization with [7] days' written notice if the Content is being used in a manner that damages Contractor's reputation or is materially inconsistent with the agreed creative brief.

8. EXCLUSIVITY

For a period of [30 / 60 / 90] days from final delivery, Contractor agrees not to create content for direct competitors of Client in the [PRODUCT CATEGORY] category. This exclusivity restriction applies only if negotiated and confirmed in writing prior to signing. Exclusivity requested after signing is subject to an additional fee of $[AMOUNT].

9. INTELLECTUAL PROPERTY
All Content created under this Agreement remains the intellectual property of Contractor until full payment is received. Upon receipt of full payment, Client receives the rights described in Sections 5, 6, and 7. Contractor retains ownership of all raw footage, unused clips, and any deliverables not included in the approved final files.
Contractor retains the right to display the Content in their portfolio and use it as a professional sample unless Client requests otherwise in writing within [30] days of final delivery.

10. FTC COMPLIANCE
For Content posted from Contractor's own accounts, Contractor will include required FTC disclosure language. For Content delivered to Client for posting on Client's channels, Client bears sole responsibility for proper disclosure in compliance with FTC guidelines and any applicable advertising regulations.

11. KILL FEE
If Client cancels this Agreement after the creative brief has been received and work has begun, the following cancellation fees apply:
- Cancelled before filming begins: 25% of total fee
- Cancelled after filming but before first delivery: 50% of total fee
- Cancelled after first delivery: 75% of total fee
- Cancelled after revisions have been submitted: 100% of total fee
The deposit is non-refundable in all cases.

12. CONFIDENTIALITY

Each Party agrees to keep confidential any non-public information shared by the other Party in connection with this Agreement, including but not limited to unreleased products, campaign strategies, pricing, and business plans. This obligation survives termination of this Agreement for a period of [2] years.

13. INDEPENDENT CONTRACTOR
Contractor is an independent contractor, not an employee of Client. Contractor is responsible for all taxes on income earned under this Agreement. Nothing in this Agreement creates a partnership, joint venture, or employment relationship.

14. TERMINATION
Either Party may terminate this Agreement with [7] days' written notice before filming begins. After filming begins, termination is subject to the kill fee outlined in Section 11.
Contractor may terminate immediately and all usage rights revert to Contractor if Client fails to pay any amount due within [14] days of the due date.

15. LIMITATION OF LIABILITY
Contractor's total liability under this Agreement shall not exceed the total fees paid by Client. Contractor is not liable for any indirect, incidental, or consequential damages.

16. DISPUTE RESOLUTION
The Parties agree to attempt to resolve any dispute through good-faith negotiation before pursuing legal action. This Agreement is governed by the laws of [YOUR STATE/PROVINCE].

17. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, proposals, or agreements. Any modifications must be made in writing and signed by both Parties.
