VA work sits at an unusual legal intersection: you're trusted with more access than almost any other freelancer (email, calendar, financial accounts, client data), but the work is often treated as informal because it's "just admin." This contract takes it seriously. It protects your time, your liability exposure, and your relationship with the client's clients.
What's included
- Scope of services: exactly what tasks are covered in the retainer, and what falls outside it
- Monthly retainer hours: included hours, overage rate, and whether unused hours roll over
- Task submission and turnaround: how tasks are assigned, expected response times, and what communication channels are used
- Account access and credentials: which accounts you'll access, security expectations, and return of credentials on termination
- Confidentiality: protection for client business information, client lists, financial data, and any personal information accessed during the work
- Non-solicitation: restrictions on directly soliciting the client's own clients during and after the engagement
- Payment terms: monthly retainer due date and late payment policy
- Termination: notice period, final invoice, and off-boarding steps
