SOCIAL MEDIA MANAGEMENT AGREEMENT This Agreement is entered into as of [DATE] between: CLIENT: [CLIENT FULL NAME OR COMPANY NAME], located at [CLIENT ADDRESS] ("Client") CONTRACTOR: [YOUR FULL NAME OR BUSINESS NAME], located at [YOUR ADDRESS] ("Contractor") Together referred to as the "Parties." --- 1. SERVICES Contractor agrees to provide social media management services ("Services") for the following platforms: [LIST PLATFORMS — e.g., Instagram, TikTok, Facebook, Pinterest, LinkedIn] Monthly deliverables include: - [X] feed posts per week on [PLATFORM] - [X] stories per week on [PLATFORM] - [X] reels / short-form videos per month on [PLATFORM] - Monthly content calendar delivered by [DAY] of each month for Client approval - [Include or remove: Monthly analytics report summarizing reach, engagement, and follower growth] The Services described above constitute the complete scope of this Agreement. Any work not listed here — including additional platforms, advertising campaigns, website updates, email marketing, graphic design beyond social assets, or video editing beyond social-format clips — is outside scope and subject to a separate written agreement and additional fee. --- 2. CONTENT APPROVAL Contractor will deliver a content calendar for the following month by the [X]th of each month. Client has [3] business days to review and request revisions. If Client does not respond within [3] business days, content is considered approved and Contractor will proceed with scheduling as planned. Client may request up to [TWO (2)] rounds of revisions per monthly calendar. A revision is defined as minor changes to copy, images, or scheduling. Requests that substantially change the direction or require creating new content constitute new work and are billed at $[HOURLY RATE] per hour. --- 3. ACCOUNT ACCESS Client will provide Contractor with the necessary login credentials or platform access to perform the Services. Contractor agrees to use this access solely for the purposes of this Agreement and to maintain the confidentiality of all credentials. Upon termination of this Agreement for any reason, Client will revoke Contractor's access within [3] business days and Contractor will delete or return any stored credentials. Contractor will not retain access to any Client accounts after termination. --- 4. COMPENSATION Monthly retainer fee: $[AMOUNT] Payment due: By the [1st / 15th] of each month in advance Invoices unpaid after [7] days of the due date will result in Contractor pausing work until payment is received. Invoices unpaid after [30] days accrue a late fee of [1.5%] per month on the outstanding balance. Hours worked for out-of-scope requests (see Section 1) are billed at $[HOURLY RATE] per hour and invoiced separately. --- 5. COMMUNITY MANAGEMENT [OPTIONAL — Include if responding to comments and DMs is part of the scope.] Community management is [included / not included] in the monthly retainer. If included, Contractor will respond to comments and direct messages on [PLATFORMS] during business hours ([HOURS]) within [X] hours. Responses to messages outside of business hours will be addressed the next business day. Community management does not include handling customer service escalations, refund requests, or complaints requiring access to order systems. These will be flagged to Client for direct response. --- 6. PERFORMANCE Contractor will use professional judgment and best practices to grow and engage Client's audience. Contractor makes no guarantee of specific results including follower counts, engagement rates, reach, or revenue. Social media platform algorithms are outside Contractor's control and results will vary. --- 7. TERM This Agreement begins on [START DATE] and continues on a month-to-month basis until terminated by either Party in accordance with Section 10. --- 8. CONFIDENTIALITY Contractor agrees to keep confidential any non-public information accessed in the course of this Agreement, including but not limited to business strategies, product plans, customer data, pricing, and financial information. This obligation survives termination of this Agreement for a period of [2] years. --- 9. INDEPENDENT CONTRACTOR Contractor is an independent contractor, not an employee of Client. Contractor is responsible for all taxes on income earned under this Agreement. Nothing in this Agreement creates a partnership, joint venture, or employment relationship. --- 10. TERMINATION Either Party may terminate this Agreement with [30] days' written notice. During the notice period, Contractor will continue to provide Services and Client will continue to pay the monthly retainer. Contractor may terminate immediately if Client fails to pay any amount due within [14] days of the due date. Upon termination: - Client will pay for all work completed through the termination date - Client will revoke Contractor's account access within [3] business days - Contractor will deliver all scheduled content, login credentials, and assets in their possession - Contractor will delete all Client credentials and account access from their devices --- 11. INTELLECTUAL PROPERTY All content created by Contractor under this Agreement becomes the property of Client upon full payment of the applicable monthly invoice. Contractor retains the right to display work samples in their portfolio unless Client requests otherwise in writing. --- 12. LIMITATION OF LIABILITY Contractor's total liability under this Agreement shall not exceed the fees paid by Client in the two (2) months preceding the claim. Contractor is not liable for any indirect, incidental, or consequential damages, including any losses caused by platform outages, algorithm changes, or account suspensions beyond Contractor's control. --- 13. DISPUTE RESOLUTION The Parties agree to attempt to resolve any dispute through good-faith negotiation before pursuing legal action. This Agreement is governed by the laws of [YOUR STATE/PROVINCE]. --- 14. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, proposals, or agreements.
