VIRTUAL ASSISTANT SERVICES AGREEMENT This Agreement is entered into as of [DATE] between: CLIENT: [CLIENT FULL NAME OR COMPANY NAME], located at [CLIENT ADDRESS] ("Client") CONTRACTOR: [YOUR FULL NAME OR BUSINESS NAME], located at [YOUR ADDRESS] ("Contractor") Together referred to as the "Parties." --- 1. SERVICES Contractor agrees to provide virtual assistant services ("Services") as follows: Included tasks: [LIST SPECIFIC TASKS — e.g.: - Email inbox management and triage - Calendar scheduling and appointment booking - Research and data entry as assigned - Social media scheduling (content provided by Client) - Vendor and supplier correspondence - Travel booking and logistics coordination] Tasks not listed above are outside the scope of this Agreement and subject to a separate written agreement and additional fee. Contractor is not responsible for tasks assigned verbally or informally unless confirmed in writing (email or project management system). --- 2. HOURS AND AVAILABILITY [Choose Option A or Option B and delete the other.] OPTION A — MONTHLY RETAINER (Set number of hours per month): Monthly retainer: [X] hours per month Retainer fee: $[AMOUNT] per month Overage rate: $[HOURLY RATE] per hour for any hours exceeding the monthly retainer Unused hours: [Do not / Do] roll over to the following month OPTION B — HOURLY (Pay for time used): Hourly rate: $[AMOUNT] per hour Estimated monthly hours: [X] hours Hours are billed in [15-minute / 30-minute] increments Contractor will provide a time log with each invoice --- 3. TASK SUBMISSION AND TURNAROUND Client will submit tasks via [EMAIL / PROJECT MANAGEMENT TOOL (e.g., Asana, Trello, ClickUp, Slack)]. Tasks submitted through other channels may not be actioned. Standard turnaround time for routine tasks: [24 / 48] business hours from submission. Rush requests (turnaround under [4] hours) are subject to an additional rush fee of $[AMOUNT] and must be agreed in advance. Contractor is not required to accept rush requests. Contractor's working hours are [HOURS] on [DAYS], [TIMEZONE]. Requests submitted outside of working hours will be addressed on the next business day. --- 4. ACCOUNT ACCESS AND CREDENTIALS Client may provide Contractor with access to email accounts, calendar systems, social media accounts, project management tools, and other platforms necessary to perform the Services. Contractor agrees to: - Use access solely for the purposes of this Agreement - Maintain the confidentiality of all credentials - Not share credentials with any third party - Not retain access or copies of credentials after this Agreement ends Upon termination for any reason, Client will revoke Contractor's access within [2] business days, and Contractor will delete all stored credentials and confirm deletion in writing. --- 5. COMPENSATION [For retainer (Option A):] Monthly retainer fee: $[AMOUNT], due by the [1st / 15th] of each month in advance. [For hourly (Option B):] Invoices submitted [weekly / bi-weekly / monthly]. Payable within [7] days of receipt. Invoices unpaid after [7] days of the due date will result in Contractor pausing work until payment is received. Invoices unpaid after [30] days accrue a late fee of [1.5%] per month on the outstanding balance. --- 6. CONFIDENTIALITY Contractor acknowledges that in performing the Services, Contractor will have access to highly sensitive business information. Contractor agrees to keep confidential all non-public information accessed during this engagement, including but not limited to: - Business strategies, plans, and financial data - Client lists, contact details, and communications - Pricing, vendor relationships, and contracts - Personal information of Client or Client's customers - Login credentials and account access This confidentiality obligation is indefinite. It does not expire on termination of this Agreement. Contractor may not discuss, disclose, or use any of the above information for any purpose outside the performance of Services under this Agreement. --- 7. NON-SOLICITATION During the term of this Agreement and for [12] months following termination, Contractor agrees not to directly solicit, contact, or seek to do business with any of Client's customers, clients, or business contacts that Contractor became aware of through this engagement. This restriction applies to direct solicitation only and does not prevent Contractor from working with individuals or companies that independently approach Contractor. --- 8. INDEPENDENT CONTRACTOR Contractor is an independent contractor, not an employee of Client. Contractor is responsible for all taxes on income earned under this Agreement, including self-employment taxes. Nothing in this Agreement creates a partnership, joint venture, or employment relationship. Contractor may work with other clients during the term of this Agreement. --- 9. TERM This Agreement begins on [START DATE] and continues on a month-to-month basis until terminated in accordance with Section 10. --- 10. TERMINATION Either Party may terminate this Agreement with [14 / 30] days' written notice. Contractor may terminate immediately if Client fails to pay any amount due within [14] days of the due date. Upon termination: - Client will pay for all work completed and hours logged through the termination date - Client will revoke all account access within [2] business days - Contractor will deliver all files, documents, and assets held on Client's behalf - Contractor will delete all Client credentials and confirm deletion in writing --- 11. LIMITATION OF LIABILITY Contractor's total liability under this Agreement shall not exceed the fees paid by Client in the two (2) months preceding the claim. Contractor is not liable for any indirect, incidental, or consequential damages. Contractor is not liable for third-party platform outages, data loss by third-party services, or errors resulting from inaccurate information provided by Client. --- 12. DISPUTE RESOLUTION The Parties agree to attempt to resolve any dispute through good-faith negotiation before pursuing legal action. This Agreement is governed by the laws of [YOUR STATE/PROVINCE]. --- 13. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, proposals, or agreements.
